Spirit AeroSystems has signed a definitive agreement with Airbus SE to transfer ownership of several production facilities that manufacture major aerostructures for Airbus aircraft.
The divestiture coincides with Spirit’s pending acquisition by Boeing, with both transactions subject to regulatory approvals and expected to close in the third quarter of 2025.
Under the agreement, Airbus will acquire the following Spirit facilities:
- Kinston, North Carolina, USA – A350 fuselage sections
- Saint-Nazaire, France – A350 fuselage sections
- Casablanca, Morocco – Components for A321 and A220 aircraft
- Prestwick, Scotland – Wing components for A320 and A350 aircraft
- Wichita, Kansas, USA – A220 pylons
- Belfast, Northern Ireland – A220 wings (and mid-fuselage sections if no other buyer is found)
- Subang, Malaysia – Airbus-related assets (subject to buyer search outcome)
To support ongoing production, Airbus will provide Spirit AeroSystems with non-interest-bearing credit lines totaling $200 million.
“Entering into this agreement is a significant milestone as we work toward the closing of the Boeing acquisition,” said Irene Esteves, Executive Vice President and CFO of Spirit AeroSystems.
The move reflects broader efforts to realign the global aerospace supply chain and streamline production for Airbus and Boeing.
